Introduction

Vishal Bazaar Company Limited was registered under the Companies Act, 2063 (the then Companies Act, 2021) in the Department of Commerce on 14/04/2026 and in the Department of Industry on 27/04/2026 and has been operating since the year 2026. Its registered office is in Kathmandu Metropolitan City Ward No. 24 Sukrapath, Kathmandu. The foundation stone of Vishal Bazar Bhavan was laid on  May 29, 2026.

When the then King Mahendra saw large departmental stores while traveling abroad, he ordered a huge market to be established in Nepal in a modern building to facilitate shopping and increase commercial activity. In 2026, Prime Minister Surya Bahadur Thapa, Rajdarbar Secretary Indramani Rajbhandari and businessman Juddha Bahadur Shrestha expressed their desire to establish a well-organized market. Since the private sector did not have the capacity and willingness to invest in it at that time, some government institutions were also made to invest.

At the time of its establishment, its main purpose was to wholesale or retail food, clothing, medicine, herbs, recreational goods, and agricultural and industrial machines, tools, and goods that were necessary for daily consumption by the people or imported from abroad, and to export such goods abroad, and the work of trade and industry businesses would be to increase the domestic industry by supporting the producers of such goods and encouraging the domestic industry. At present, its purpose is to lease houses, shops, houses, land, etc., including factories, buildings, bungalows, warehouses, towers, offices, shops, garages, etc. It is going to be developed as a modern complex by doing businesses like workshops and providing various facilities to the customers. The development of Nepal's first modern shopping complex, i.e., supermarket culture, started after the establishment of Vishal Bazaar Company Limited. After opening a huge market as a modern organized market with elevator, it seems to have attracted the attention of middle- and upper-class consumers.

After the company was duly registered, the then Ministry of Industry and Commerce published a notice in the Nepal Gazette and Gorkhapatra on 19th Baisakh, 2026, and purchased it through land acquisition in accordance with the Land Acquisition Act, 2018 for market establishment.

Although Vishal Bazar Bhawan was laid on June 29, 2026 for various reasons, sufficient capital could not be collected from the sale of shares, after the construction of the building was delayed, its construction was completed with the involvement of various public institutions owned by the Government of Nepal. The amount was later converted into shares in the name of those companies.

At the time of the establishment of the company, the authorized capital was Rs. 1 crore from 1 institutional and 9 individual founders. For the founders to admit 24 lakh 50 thousand, only 22 lakh 30 thousand were collected. Last time, based on the directive order issued by the Supreme Court on 2067/05/14 in the name of the Government of Nepal and the final judgment dated 2072/02/26, the Government of Nepal. According to the decision of the Economic and Infrastructure Committee, from the letter dated 06/10/2074 from the Office of the Registrar of Companies, 98.75 percent of the company's authorized, issued, and paid-up capital of Rs. After its establishment, Vishal Wazar Company Limited has become an organized organization under the majority ownership of the Government of Nepal.

To be established as a competent business organization to create an easy, clean and competitive market environment based on the principles of supermarkets for the easy and accessible supply of gas, housing, cotton, and essential consumer goods to the common people.

Objectives

Nepal is under the rule of law to rent houses, shops, houses, land, etc., to deal with factories, buildings, bungalows, warehouses, warehouses, offices, shops, garages, workshops, etc.

Functions

·        Construction and purchase of land/buildings/structures/vehicles/other necessary equipment required by the company and sale, distribution or leasing.

·        To prepare the regulations and procedures required by the company and to manage the employees.

·        Opening accounts in banks and financial institutions in the name of the company and conducting banking transactions there.

·        Buying and selling shares, debentures and mutual funds in the name of the company.

·        The company shall enter into agreements for cooperation with domestic and foreign companies, firms and individuals as per the rules.

·        To provide insurance for the protection of the company's assets.

·        To do other necessary tasks to achieve the company's objectives.
